Mr. Amber has a broad range of experience in finance and related matters, ranging from IPOs to secured transactions to mergers and acquisitions. He also counsels clients on assorted transactional and corporate matters such as stock options and other equity compensation plans, joint ventures, SEC reporting and the like. He was Executive Vice President and General Counsel of ZLand.com, Inc. during 1999 and 2000, gaining experience and insight into issues from a client perspective. Mr. Amber was also on the board of directors of SSP Solutions Inc., a publicly traded company (Nasdaq NMS: SSPX) until its acquisition in August 2004.

  • Representation of both issuers and investing institutions in venture capital and mezzanine investment transactions
  • Representation of golf course and real estate developers in syndicated capital raising activities
  • Representation of aircraft manufacturer in aircraft leasing transactions
  • Representation of public companies in SEC reporting, proxy statements and registration of equity compensation plans (Form S-8)
  • Counseling of public companies on Sarbanes-Oxley and going private transactions
  • Counseling of public companies and their officers and directors on Section 16 matters, Rule 10b5-1 trading plans, Rule 10b-18 stock repurchases and the like.
