Life Sciences

Practice Overview

The Life Sciences Practice Group provides knowledgeable and skilled counsel to life sciences clients in every legal aspect of the operation of their businesses and in the creation, development, expansion, commercialization, preservation and protection of their proprietary assets.

Rutan & Tucker has assembled a team of highly qualified professionals from several practice areas to provide representation to companies engaged in the life sciences industry, including medical devices, biotechnology, diagnostics, drug delivery, surgical innovation and pharmaceuticals. We have combined the talents and experience of our corporate and transactional attorneys, litigators, intellectual property lawyers, and employment and labor law practitioners to provide creative and effective solutions to the many complex legal and business issues that face emerging and established life sciences companies.

The Group’s attorneys represent clients in all facets of their scientific and business activities, including corporate finance (both private and public financings), mergers and acquisitions, securities matters, corporate governance, technology licensing and distribution agreements, technology acquisition and transfer agreements, manufacturing agreements, research and development contracts, clinical trial agreements, OEM and supply contracts, confidentiality agreements, strategic partnering transactions, corporate restructurings, patent and trademark prosecution, patent validity and infringement actions, trademark infringement and dilution actions, trade secret theft, taxation, general business and commercial issues, employment matters, employee benefits and compensation, and antitrust, insolvency, bankruptcy and insurance issues. We also work closely with both local and national sources of equity and debt funding and provide representation in mergers and acquisitions involving life sciences companies.
