Rutan & Tucker is currently seeking an experienced and highly skilled transactional attorney for its Orange County office with an emphasis on affordable housing transactions and other tax credit related projects. Remote candidates for this position will be considered.
Candidates must be licensed in California and ideally will have at least four (4) years of experience advising clients in the following areas:
- Structuring, negotiating, and documenting partnership and other joint venture agreements, including those involving low-income housing tax credits (“LIHTC”), with an understanding of the tax and regulatory framework governing LIHTC - including the requirements for obtaining LIHTC and ongoing compliance requirements.
- Drafting joint venture agreements on behalf of developers across a variety of real estate transactions.
- Serving in the capacity as a lead advisor to affordable housing developers utilizing various sources of debt and equity financing (and be comfortable delivering practical and solution-oriented counsel directly to such clients).
The attorney will play a critical role in advising clients on tax-efficient structuring for various types of real estate projects, providing strategic guidance on structuring joint ventures and ensuring the successful use of tax credits and other incentives. The candidate should possess a strong understanding of partnership tax matters in order to identify tax issues, ensure compliance, and mitigate risk.
A portable book of business is preferred but is not required for the right candidate.
Salary Range: $350,000 – $600,000 (including estimated bonus). Actual salary will depend upon several factors, including relevant experience, job-related skills, other qualifications, and billings. Compensation is negotiable for more senior-level attorneys and partner candidates.

Rutan & Tucker is seeking 2-3 mid-level to senior level associates (4–7+ years of experience) to join our Financial Practices Group in either our San Francisco or Irvine office. The ideal candidates will have meaningful experience with (1) commercial finance and/or real estate finance transactions, (2) drafting and negotiating loan and security documents, and (3) managing transactions from inception to closing.
Candidates should have a solid understanding of UCC Article 9 or real estate secured lending, or both. Experience representing both lenders and borrowers is also a plus. Applicants must be California-admitted attorneys with a strong academic background from a top law school and/or experience at a firm with a comparable finance or real estate lending practice to Rutan.
The successful candidates will have the opportunity to work closely with our highly experienced and collaborative team of finance attorneys on a wide range of debt financing transactions, both on the lender-side and on the borrower-side. The practice group provides strong mentoring and sponsorship, with real partnership opportunities.

Salary Range: $215k – 245k
Ideally, the candidate will have experience assisting with one or more of the following:
- Privacy compliance (including under U.S. state privacy laws, GDPR, HIPAA, and GLBA);
- Advertising, Internet-based, and mobile privacy issues;
- Privacy program implementation and management;
- Regulatory investigations relating to privacy and data security issues;
- Data breach response and preparedness activities; and
- Drafting privacy notices, internal policies, incident response plans, and data processing addenda (DPAs).
Required Qualifications and Skills:
- Minimum 2-3 years of practical privacy/data protection experience
- J.D. and CIPP/US, CIPP/E, CIPM, or CIPT certifications
- Solid knowledge of and familiarity with U.S. and EU privacy and data security laws, regulations, and standards, including CCPA, HIPAA, GDPR, and other U.S. state and federal privacy, data security, breach notification, artificial intelligence, consumer protection and employment-related privacy laws, regulations, and proposed legislation
- Demonstrated transactional experience, including reviewing, drafting and negotiating privacy and data protection contract terms and agreements, such as DPAs and other data processing, usage, and/or transfer agreements
- Experience with implementing incident response plans, responding to data security incidents and advising on applicable legal requirements
- Strong academic credentials
- Superior written and verbal communication skills
- Excellent organizational skills
- Ability to juggle multiple tasks and prioritize under tight time constraints
- Self-motivated and independent, but able to discern when matters should be escalated and when further guidance is needed
- Ability to translate legal requirements into practical guidance for non-lawyers
- Active membership and good standing in at least one State Bar

Compensation:
Salary Range: $260,000-$345,000 commensurate with experience, plus bonuses that can exceed top-of-market bonus scales and can result in higher than market all-in compensation!
